By accessing or using our platform, you agree to be bound by these Terms. Please read them carefully. If you do not agree, do not use our platform.

1. Enterprise Sales Career Incubator: Cocoon 2.0 - SERVICE DESCRIPTION

The program (Cocoon 2.0 Incubator) offered by 2464170 ALBERTA LTD. includes the following components for a duration of 16 weeks:

Personalized Consulting
Onboarding Call:
Craft a 6-figure resume for you AND a cover letter or brag book with you
Mid-Program Check-In (Week 4): Evaluate progress and adjust the strategy. 
Weekly Office Hours: Group coaching calls addressing interview preparation, outreach, and pipeline issues and any questions clients.
Job Referrals: Access to two referrals per month through recruitment partners and a network of ex-clients in major companies.
Campaign Support: Guidance on launching email campaigns with 900 touchpoints targeting 50-100 strategic employees across 25-50 organizations.
Graduate Network Integration: Access to an exclusive alumni group for ongoing career growth, referrals, and insights (to be launched in Q2-2025)

Classroom Modules:
Video guides for all five program phases, from resume creation to securing and excelling in a new role.
Tools and Templates:  +20 downloadables (60 Interview Q&A Cheat sheet, Territory Plans etc) including pre-written outreach scripts, pipeline trackers, brag book templates, accountability checklists and more. 
Insider Insights: Curated market research, salary data, and tips for identifying favorable industries and companies.
Community Access
Private Support Group:
Access to a peer and mentor community for ongoing feedback and quick replies to questions.
Live Workshops: Regular sessions on mastering interviews, optimizing outreach, and addressing challenges.
Networking Opportunities: Build connections with professionals at F500 companies, unicorn startups, and top-performing sales organizations.
Result Commitment
The Service Provider is committed to providing the highest level of mentorship and support to help the Client achieve the program's goal: securing an enterprise sales role in a RepVue Top 20% sales organization or an equivalent position that satisfies the Client.
Performance GuaranteeIf, at the end of the 16-week program, the Client has not achieved the stated objectives or results as outlined in Article 3, the Service Provider agrees to continue providing the program’s services free of charge. This extended support will continue until the Client secures a role in a RepVue Top 20% organization or a company that meets their expectations. 
Implementation Details
The following measures will be applied to ensure the fair and effective implementation of this guarantee:
Objective Definition: Objectives will be clearly defined during the onboarding phase and documented to provide a baseline for measuring success.
Performance Measurement: Progress will be evaluated based on the Client's active participation, the outcomes of their efforts, and alignment with the program deliverables broken down for each phase.
Return on Investment (ROI): Success will be assessed in terms of interviews secured, job offers received, and the quality of the role ultimately obtained.
ExclusionsThis guarantee does not apply in situations where failure to achieve the stated objectives is due to circumstances beyond the Service Provider's control. These include, but are not limited to:Lack of adherence by the Client to the strategies, advice, or timelines provided in the program.Acts of nature, disasters, or unforeseen events.External factors such as third-party actions, including recruiter or hiring process changes.

The Client acknowledges that the program's success depends on mutual collaboration and effort. The Service Provider is committed to addressing any challenges or obstacles in good faith to achieve the desired outcomes, provided the Client also meets their responsibilities. We can’t be made liable for the lack of success in any particular event if the customer has failed to follow our guidelines or professional advice.

PRICE OF THE SERVICE AND PAYMENT ORDER:
The service is to be paid upfront. There are 2 offered payment orders:
- a one-time payment of USD $4800.00.
- USD $6000.00 in 4 equal installments of USD $1500.00 monthly.

Penalties for Payment Delays

Triggering Penalties: Any unpaid amount by its due date will automatically result in the Client incurring late payment penalties, without requiring a reminder.Impact on Services: In case of payment delays exceeding 10 days, the Service Provider reserves the right to suspend its obligations, halt or cancel service provision, or terminate the contract. In such cases, the Client shall not be entitled to any compensation.Compensation: The Service Provider also reserves the right to offset any amount owed by the Client with any amount the Service Provider may owe the Client, regardless of the reason.

Oversight of Payment Delays:

Notification of Delays: The Client agrees to notify the Service Provider promptly in case of any anticipated delay in payment, providing reasons and a timeline for resolution.Grace Period Agreement: The Service Provider may, at its sole discretion, grant an additional grace period for payments upon written agreement, subject to additional charges or interest rates as specified in the contract.Escalation Process: Persistent payment delays exceeding 30 days without resolution will be escalated to external collection agencies, and any additional costs incurred in the recovery process will be charged to the Client.

REFUND AND CANCELLATION POLICY:


Due to the digital nature of our mentorship and guidance services, and the fact that intellectual property is shared and can be accessed at all times, the service is subject to a NON-REFUNDABLE policy. If you fail to land a desired job in 16 weeks while you have fully implemented all proposed strategies and advice provided during the program, we agree to continue providing the program’s services free of charge. This extended support will continue until the Client secures a role in a RepVue Top 20% organization or a company that meets their expectations. You may also request a refund by submitting a cancellation request along with the following evidence:Screenshots and video recordings of the interviews demonstrating the application of the strategies and advice as taught throughout the program.Upon receiving and verifying the evidence, we will review your request. If your request meets the outlined criteria, we will process a refund at our sole discretion. Please note that all decisions regarding cancellations are final.

2. Intellectual Property

All materials, strategies, and resources provided during mentorship sessions or as part of the platform are the intellectual property of 2464170 ALBERTA LTD. or its licensors.You are granted a limited, non-exclusive, non-transferable license to access and use the materials solely for personal, non-commercial purposes.Unauthorized reproduction, distribution, or modification of content is strictly prohibited and may result in legal action.

3. Acceptable Use

When using our platform, you agree to:
Use it only for lawful purposes and in accordance with these Terms.Engage respectfully and professionally with mentors and other users. Avoid sharing or discussing any proprietary or confidential information obtained through the platform without explicit permission. Prohibited actions include but are not limited to:Sharing or distributing content provided through the mentorship program without authorization. Attempting to hack, reverse engineer, or otherwise compromise the security or functionality of the platform.Using automated tools or scripts to interact with the platform or disrupt other users’ experiences.

4. Confidentiality
Both the mentor and mentee agree to maintain the confidentiality of any sensitive or proprietary information shared during the mentorship process. However Cocoon 2.0 Incubator (2464170 ALBERTA LTD.) reserves the right to review and use aggregated or anonymized data to improve services and maintain quality standards.

5. Limitation of Liability To the fullest extent permitted by law:Cocoon 2.0 Incubator (2464170 ALBERTA LTD.) and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the platform or reliance on guidance provided.

All advice, guidance, or recommendations are offered in good faith but do not guarantee specific results. Users are solely responsible for implementing advice and making decisions based on mentorship sessions.

Our total liability is limited to the amount paid by you for the specific service or mentorship package in question.

6. Indemnification

You agree to indemnify and hold Cocoon 2.0 Incubator (2464170 ALBERTA LTD.), its affiliates, and employees harmless from any claims, damages, or liabilities arising from:Your use of the platform or violation of these Terms.Any disputes arising between you and a mentor or third party related to the mentorship program.

7. Privacy
Your use of the platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of data as outlined in our Privacy Policy.

8. Modifications to Services
Cocoon 2.0 Incubator (2464170 ALBERTA LTD.) reserves the right to modify or discontinue services, programs, or features at any time, with or without notice. We are not liable for any changes or interruptions that may impact your access to mentorship resources or sessions.

9. Termination
We reserve the right to suspend or terminate your account and access to mentorship services if you violate these Terms, engage in misconduct, or fail to comply with payment obligations. Upon termination, all access to mentorship materials and services will be revoked.
10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Alberta, Canada.

Any disputes arising under these Terms will be resolved in the courts of Calgary,  Alberta, Canada.
